This Agreement contains the complete terms and conditions that apply to your participation as an Associate in the OKbridge, Inc. Associates Program. 1. Enrollment in Our Associates Program To enroll in our Associates Program, you will submit a complete OKbridge, Inc. Associates Program application. We will review your application and will attempt to notify you of your acceptance or rejection. We may reject your application if we determine (at our sole discretion) that your Web site is unsuitable for our Associates Program. Reasons for rejection include, but are not limited to, material on your Web site that is defamatory, discriminatory, obscene, sexual or unlawful. If your application is approved, you will be an Associate of the OKbridge, Inc. Associates Program. If we reject your application, you are welcome to reapply to our Associates Program at any time. 2. Links on Your Web Site to OKbridge, Inc. Upon approval of your application to become an OKbridge, Inc. Associate, we shall provide you with a URL, a selection of graphic files, and a selection of text phrases to be used to link to the OKbridge, Inc. Web site. The URL we shall provide you must be used when you link our Web site to yours. At least one of the graphic files or at least one of the text phrases we shall make available to you must also be used when you link the URL we shall provide you to your Web site. Graphic files and text phrases that may be used in linking the URL we shall provide you to your Web site are subject to change at our sole discretion. Graphic files and text phrases that we do not make available to you cannot be used to link the URL we shall provide you to your Web site 3. Referral Awards Schedule We agree to pay you a referral award of U.S. $10.00 (ten dollars) for every new OKbridge, Inc. annual membership purchased by visitors of the URL we shall provide you, with the following conditions: a. Memberships purchased by visitors of the URL we shall provide you that are subsequently refunded shall not qualify for referral awards, and monthly memberships purchased by visitors of the URL we shall provide you that are cancelled within six months shall not qualify for referral awards. b. No membership renewals shall qualify for referral awards. c. In the event a membership is purchased by a visitor of multiple OKbridge, Inc. Associates' links to the OKbridge, Inc. Web site, OKbridge, Inc. shall pay a referral award to only one Associate. OKbridge, Inc. reserves the right to determine at its sole discretion the Associate to which the referral award shall be paid. However, OKbridge, Inc. will make make reasonable efforts to ensure that the referral award shall be given to the owner of the Web site that visitor first visited. d. A referral award shall not be due until 90 (ninety) days after the purchase of an OKbridge, Inc. membership, to allow for the possibility of that membership being refunded to its owner in accordance with our current 90 (ninety) day refund policy. e. Our referral awards schedule is subject to change at any time at our sole discretion. However, should this schedule be changed, any referral awards due to you at the time of the change shall still be due to you in their exact form. 4. Payment of Referral Awards Referral awards you are due as a result of our Referral Awards Schedule shall be paid to you by check, by postal mail, at the end of each calendar quarter. 5. Reports of Sales OKbridge, Inc. will record any memberships purchased by visitors of your OKbridge, Inc. Associates Program link. OKbridge, Inc. will have the sole right to determine any referral awards you may be due. You agree to allow us to use our records for the purpose of determining any referral awards you may be due. 6. OKbridge, Inc. Membership Policies Customers who purchase OKbridge, Inc. memberships through our Associates Program shall be customers of OKbridge, Inc. Accordingly, all OKbridge, Inc. rules, policies, and operating procedures concerning customer orders, customer service, and OKbridge, Inc. product sales will apply to those customers. At our sole discretion, we may change our policies and operating procedures at any time. 7. Licenses and Use of OKbridge, Inc. Logos and Trademarks We grant you a non-exclusive, non-transferable, revocable right to use graphic files and text phrases we shall make available to you, as discussed in Section 3, solely to identify your Web site as an OKbridge, Inc. Associate, to promote visitors to the URL we shall provide you, and to encourage those visitors to purchase new, annual, OKbridge, Inc. memberships. This right shall be revoked upon termination of your membership in the OKbridge, Inc. Associates Program. We reserve all our rights in the graphic files and text phrases we shall make available to you, as well as in our logos and trademarks. You may not alter any of this material without written permission from OKbridge, Inc. 8. Responsibility for Your Web Site You will be solely responsible for the development, operation, and maintenance of your Web site and for all material that appears on your Web site. Your responsibilities will include, but shall not be limited to, the technical operation of your site and all related equipment; creating OKbridge, Inc. product descriptions that are acceptable to OKbridge, Inc.; ensuring that material on your Web site does not violate or infringe upon the rights of any third party; and ensuring that material on your Web site is not illegal. We disclaim all liability for these matters. You will assume all liability for the development, operation and maintenance of your Web site. 9. Terms of the Agreement The terms of this Agreement will begin upon our acceptance of your Program application and will end upon termination of your membership in the OKbridge, Inc. Associates Program. Your membership in the OKbridge, Inc. Associates Program may be terminated by you or OKbridge, Inc. for any reason, at any time. Should you decide to terminate your membership in our Associates Program, you will first notify OKbridge, Inc. in writing of your decision. You are only eligible to earn referral awards while you are an OKbridge, Inc. Associate. 10. Modification We may modify any of the terms and conditions contained in this agreement, at any time, at our sole discretion. If any modification of this Agreement is unacceptable to you, you agree that your only recourse is to terminate your membership in our Associates Program. Your continued participation in our Associates Program following the posting of a change notice or new agreement on our Web site, or of written notice we give you of a change notice or new agreement, will constitute binding acceptance of the change. 11. Relationship of Parties You and OKbridge, Inc. are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your Web site or otherwise, that reasonably would contradict anything in this Section. 12. Limitation of Liability OKbridge, Inc. will not be liable for any damages resulting from this Agreement or with the OKbridge, Inc. Associates Program. Our aggregate liability shall be limited to the total referral awards you are due under this Agreement. 13. Disclaimers We make no express or implied warranties or representations with respect to the OKbridge, Inc. Associates Program or OKbridge, Inc. memberships purchased through our Associates Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). We make no representation that our Web site will be accessible at any time, or that it will be free of errors. We will not be liable for any inaccessibility of, or errors in, material on our Web site. 14. Independent Investigation You acknowledge that you have read this agreement and agree to all its terms and conditions. You understand that we may at any time solicit customer referrals on terms that may differ from those contained in this Agreement or operate Web sites that are similar to or compete with your Web site. You have independently evaluated the desirability of participating in the OKbridge, Inc. Associates Program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement. 15. Governing Law This Agreement will be governed by the laws of the United States and the state of California, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or state courts located in the county of San Diego, California and you irrevocably consent to the jurisdiction of such courts. You may not assign this Assignment, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, and enforceable against, the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
